General Terms and Conditions

1. Scope of Application

These General Terms and Conditions (GTC) apply to all business relationships between Guschlbauer Backwaren GmbH (hereinafter "Seller") and the customer (hereinafter "Buyer").

Deviating conditions of the Buyer are not recognized unless the Seller expressly agrees to their validity in writing.

2. Conclusion of Contract

Our offers are non-binding and without obligation. A contract is only concluded through our written order confirmation or through execution of the delivery.

3. Prices and Payment

All prices are ex works, plus the applicable statutory value added tax and packaging costs.

Invoices are payable within 14 days of the invoice date without deduction, unless otherwise agreed.

4. Delivery

Delivery dates are only binding if they have been expressly confirmed by us in writing. Partial deliveries are permitted.

The risk passes to the Buyer upon handover of the goods to the carrier, freight forwarder or other third party designated to execute the shipment.

5. Retention of Title

The delivered goods remain our property until full payment of all claims arising from the business relationship.

6. Warranty and Liability

Obvious defects must be reported in writing within 8 days of receipt of the goods. Hidden defects must be reported immediately after discovery.

In the case of justified defect complaints, we are entitled to subsequent improvement or replacement delivery.

7. Force Majeure

In the event of force majeure, operational disruptions, strikes, lockouts and similar events, we are released from the delivery obligation for the duration of the disruption and to the extent of its effects.

8. Data Protection

We process personal data of the Buyer in accordance with our Privacy Policy.

9. Jurisdiction and Applicable Law

Austrian law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods.

The place of jurisdiction for all disputes arising from the contractual relationship is Wels, Austria.

10. Severability Clause

Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
